Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and XiPlatform ("Company," "we," "us," or "our"), governing your access to and use of the Peeld platform at peeld.app (the "Service"). Please read these Terms carefully before using the Service.

1. Acceptance of Terms

By accessing or using the Service in any manner — including but not limited to visiting the website, creating a peel, responding to a peel, creating an account, or browsing content — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, you must immediately cease all use of the Service. Your continued use of the Service following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are under 18, you represent that you have the consent of a parent or legal guardian to use the Service and that they have read and agree to these Terms on your behalf. By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Responsibilities

Creating an account is optional. You may create and respond to peels without registering. If you choose to create an account:

  • You agree to provide accurate, current, and complete information during registration and to keep it up to date.
  • You are solely responsible for maintaining the confidentiality of your account credentials (password, creator secrets, session tokens).
  • You are responsible for all activity that occurs under your account, whether or not authorized by you.
  • You must notify us immediately at [email protected] if you suspect unauthorized use of your account.
  • You may not create an account using a false identity or impersonate another person.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service to harass, bully, threaten, intimidate, stalk, or otherwise abuse any person.
  • Submit or share content that promotes hatred, discrimination, or violence against any individual or group based on race, ethnicity, religion, gender, gender identity, sexual orientation, disability, or national origin.
  • Post or transmit content that is defamatory, libelous, obscene, pornographic, sexually explicit, or that exploits minors in any way.
  • Impersonate any person or entity, or falsely claim an affiliation with any person or entity.
  • Dox any person (publish private or identifying information about someone without their consent).
  • Submit content that constitutes a credible threat of physical harm or violence.
  • Use the Service to distribute spam, malware, phishing attempts, or other malicious content.
  • Attempt to circumvent rate limits, duplicate-response protections, content moderation systems, or other security measures.
  • Scrape, crawl, or use automated means to access the Service or extract data, except as explicitly permitted by our robots.txt file.
  • Interfere with or disrupt the integrity, security, or performance of the Service.
  • Use the Service to collect personal information about other users without their consent.
  • Violate any applicable local, state, national, or international law or regulation.

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

5. Content Ownership and License

5.1 Your Content

You retain ownership of the content you submit to the Service, including peel questions, response text, and profile information ("User Content"). By submitting User Content, you grant XiPlatform a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with operating and providing the Service. This license continues even if you stop using the Service, to the extent that your User Content has been shared with or made available to other users.

5.2 Responsibility for Content

You are solely responsible for all User Content you submit. You represent and warrant that: (a) you own or have the necessary rights to submit the content; (b) the content does not infringe any third party's intellectual property or other rights; and (c) the content complies with these Terms and all applicable laws.

5.3 No Obligation to Monitor

While we employ automated moderation systems and allow peel creators to moderate responses, we are under no obligation to monitor, review, or edit User Content. We are not responsible for the accuracy, completeness, or legality of any User Content.

6. Anonymous Responses

A core feature of Peeld is the ability for respondents to submit feedback anonymously. By submitting a response, you understand and agree that:

  • Responses are permanent. Once submitted, anonymous responses cannot be retracted, edited, or deleted by the respondent. This is by design and is fundamental to the anonymity model.
  • Anonymity means no attribution. We cannot verify who submitted any particular anonymous response. Therefore, we cannot fulfill requests to modify or delete specific anonymous responses.
  • Peel creators may moderate. The creator of a peel may approve, flag, or hide individual responses. This does not affect the underlying data.
  • Anonymity is not absolute. If you include personally identifying information in your response text, that is your responsibility. We recommend not including identifying information in anonymous responses.
  • Abuse of anonymity is prohibited. Anonymity does not grant a license to violate the Acceptable Use policy. We may use technical measures (fingerprint hashes, IP hashes) to detect and prevent abuse patterns.

7. Content Moderation

We employ a multi-layered content moderation system to maintain a safe environment:

  • Automated filtering: Responses are screened by word filters and spam-detection heuristics.
  • AI-powered moderation: Response text is submitted to the OpenAI Moderation API for toxicity scoring. No user identifiers are sent to OpenAI.
  • Creator moderation: Peel creators can review, approve, flag, or hide individual responses.

In addition, we reserve the right, but are under no obligation, to:

  • Remove or disable access to any content that violates these Terms.
  • Suspend or terminate the accounts of repeat violators.
  • Report illegal content or activity to the appropriate law enforcement authorities.
  • Take any action we deem necessary to protect the safety and integrity of the Service and its users.

8. Intellectual Property

The Service, including its design, logos, trademarks, service marks, graphics, code, and all underlying technology, is the property of XiPlatform and is protected by copyright, trademark, and other intellectual property laws. "Peeld," the Peeld logo, and all related names, logos, product and service names, designs, and slogans are trademarks of XiPlatform. You may not use these marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Service or its content, other than the limited right to use the Service in accordance with these Terms.

9. Third-Party Services

The Service may contain links to or integrations with third-party websites, services, or applications (including OAuth providers like Google and Microsoft). We do not control these third-party services and are not responsible for their content, privacy policies, or practices. Your use of third-party services is at your own risk and subject to their respective terms and conditions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, XIPLATFORM DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, we do not warrant that:

  • The Service will be uninterrupted, secure, or error-free.
  • The results obtained from the Service will be accurate, reliable, or complete.
  • Any content, including anonymous responses, will be truthful, accurate, or non-harmful.
  • Any defects or errors in the Service will be corrected.
  • The Service will be free of viruses or other harmful components.

You acknowledge that anonymous feedback may include content that is inaccurate, offensive, hurtful, or otherwise objectionable. You use the Service and rely on any content obtained through it at your sole risk and discretion.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL XIPLATFORM, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY USER OR THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT; (C) ANY CONTENT OBTAINED FROM THE SERVICE, INCLUDING ANONYMOUS RESPONSES; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR CONTENT OR DATA.

IN NO EVENT SHALL XIPLATFORM'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO XIPLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless XiPlatform, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of any third party; (d) any User Content you submit; or (e) your negligent or willful misconduct. This indemnification obligation shall survive the termination of these Terms and your use of the Service.

13. Dispute Resolution and Arbitration

13.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

13.2 Binding Arbitration

If the dispute cannot be resolved informally, you and XiPlatform agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

YOU AND XIPLATFORM AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and XiPlatform agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms or the Acceptable Use policy.
  • Engaging in fraudulent, abusive, or illegal activity.
  • Failure to maintain accurate account information.
  • Upon your request (account deletion).
  • Extended periods of inactivity.
  • Discontinuation of the Service.

Upon termination, your right to use the Service ceases immediately. We may, but are not obligated to, delete your account data. Sections of these Terms that by their nature should survive termination — including but not limited to Content Ownership (Section 5), Disclaimer (Section 10), Limitation of Liability (Section 11), Indemnification (Section 12), and Dispute Resolution (Section 13) — shall survive.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you agree to submit to the exclusive jurisdiction of the federal and state courts located in Delaware.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where practical, notify you via email or a prominent notice on the Service. Your continued use of the Service after such changes are posted constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Service.

17. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and XiPlatform regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter herein.

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
